Registration of a commercial activity in Poland does not require any additional investment, except for the authorized capital. The advantages of this type of registered business in Poland is the lack of personal responsibility of the co-founders of the company for its activities, i.e. the personal property of the manager is not connected with the property of the company; a relatively small amount of the minimum share capital compared with the authorized capital in firms in Western Europe - in Poland you need 5000 PLN (approximately 1250 Euro), it is also possible to introduce new co-founders and an undeniable advantage is the permission to conduct unlimited business activities. Company in Poland is a company in the European Union - which can operate in Europe without permits, it means that your Polish company can issue invoices to Italian partners or German customers.

The name of the Polish company - is chosen arbitrarily, in order to make sure if the name is not occupied, it should be checked in the Polish Court Register. Also, any company name of the LLC will contain at the end of the name the abbreviation "Sp.z.o.o.", for example "Stay in Poland Sp.z.o.o.". The company name in Poland can be chosen not necessarily in Polish, but also in English or any other (in the Latin alphabet). A Polish company is considered to be registered only after its registration and entry in the Polish Court Register KRS, after registration the company receives the official status of "legal entity in Poland".

How to open a company in Poland and a bank account?


  • A limited liability company in Poland is represented in all matters by the Management Board, which may consist of one or more members. The Management Board may include persons from among the co-founders or persons who are not co-founders of the company. Any member of the Board is appointed and may be dismissed by the decision of the co-founders, unless the Articles of Association of the LLC contain some exception to the standard rules.
  • Every sole trader or company registered in Poland is obliged to receive its individual statistical number REGON, a unique number consisting of nine digits in the register of the Statistical Office in Poland. The legal address of the company does not have to be in a commercial premises, because it is possible to open a company in Poland and give it an address even in an apartment. It is obligatory to attach to the application an abstract from the court register, confirming the fact of company registration in the territory of the Republic of Poland.
  • After receiving the REGON number, it is possible to open a company bank account. Bank account in Poland for a company is practically a necessary part of any business, it is convenient for mutual settlements and transfer of payments, payment of bills, etc. Thanks to a bank account it is possible to receive and pay VAT, i.e. VAT. It is obligatory to submit the number of an open bank account to the tax office when filling out the NIP application.
  • Every Polish entity in Poland (as well as every entrepreneur in Poland), consequently being a taxpayer, is obliged to have their NIP Tax Identification Number. There is an obligation to apply for tax identification within 14 days from the beginning of the business activity.
  • Any taxpayer who is going to pay Value Added Tax (VAT) in Poland and European Union VAT (who is not exempt from VAT) from the beginning of business activity (or from the beginning of business activity as an individual entrepreneur - only for Polish residents) is obliged to submit a VAT registration application to the tax office. It is also worth noting that if you have a turnover exceeding 150,000 PLN (approximately 36,000 EUR) per year, you must become a VAT payer (płatnik podatku VAT).
When the registration and tax formalities have been completed, the company must be registered with the ZUS Social Security Administration. The firm pays monthly social security, labor and health insurance premiums, both for the founders and for the employed workers, if any. Although in some specific situations, this tax can be withheld or waived, but this is considered individually for each case of registering a company in Poland.
